This area of the website ("Micro-Site") contains announcements, documents and information published by Sincere Watch Limited ("Sincere") and/or Sincere Holdings Limited ("Offeror") relating to the voluntary cash conditional offer (the "Offer") by the Offeror for all of the issued ordinary shares (the "Shares") in the capital of Sincere, other than those Shares held, directly or indirectly, by the Offeror as at the date of the Offer (the "Offer Shares"). The information contained in this Micro Site is made available in good faith and for information purposes only and is subject to the terms and conditions set out below.

A copy of the announcement (the "Offer Announcement") by the Offeror of the Offeror's firm intention to make the Offer (the "Offer Announcement") has been made available on this Micro-Site and was accompanied by a paid press notice appearing in the Singapore Business Times. All future announcements relating to or in connection with the Offer (whether such announcements are made by or on behalf of Sincere or the Offeror) will be posted on this Micro-Site only, save for any announcements which are required in relation to Rule 28 of The Singapore Code on Take-Overs and Mergers which, in addition to being posted on the Company's Website, will be accompanied by a paid press notice.

Shareholders are therefore advised to regularly check this Micro-Site for any updates and new announcements relating to the Offer. Sincere and the Offeror assume no responsibility for alerting Shareholders when such updates and announcements are made, save as expressly set out above.

The full terms and conditions of the Offer will be set out in the formal offer document to be issued by the Offeror (the "Offer Document"). The Offer will be made solely by the Offer Document and the accompanying form of acceptance (the "Form of Acceptance"), which when issued will contain the full terms and conditions of the Offer, including details of how the Offer may be accepted by the shareholders of Sincere (the "Shareholders"). The Offer cannot be validly accepted by holders of Sincere shares or any other person through means of downloading a copy of the Offer Document and Form of Acceptance from the Micro Site.
